Second Position Business Loans
Second position business financing can give an established company additional capital alongside an existing senior facility so companies can have both simultaneously.
Noble Funding helps businesses evaluate junior capital for working capital and growth. We begin with the financing already in place and the amount needed, then review how additional funding could fit the company’s capital structure.
Choose the right junior structure
Second position is often used to describe financing behind an existing lender. The actual documents must establish whether that position involves a junior lien, contractual payment subordination, or another agreed structure. Terms are usually 12, 15, or 18 months.
A secured second lien gives the new lender a lower-ranking claim on specified collateral. An unsecured junior facility can have no corporate-asset lien while still being subject to agreed payment or other restrictions. Those are different structures.
For collateral-priority details, see our Second Lien Business Loan page. For a broader explanation of the financing hierarchy, see Subordinated Debt Financing for Business.
Coordinate with the existing lender
Your senior agreement may require consent before you incur additional debt or grant another lien. It may also require an intercreditor or subordination agreement that sets out how the lenders interact.
Tell us about these requirements at the beginning of the review. Confirming them early helps avoid an offer that the current facility cannot accommodate.
Review the combined repayment plan
Additional capital creates additional obligations. Evaluate the senior and junior payments together, including any seasonal cash flow pressure and any payment due at maturity.
Be ready to explain:
- How the funds will be used and when the business expects the benefit.
- How operating cash flow will cover the combined financing payments.
- Whether repayment depends on collections, a refinance, a sale, or another event.
- What happens if that expected event is delayed.
Compare the term, payment frequency, total cost, fees, and early payoff conditions. If the facility is intended as a bridge, discuss a realistic repayment or refinancing path.
Noble Funding program fit
Noble’s current bridge program focuses on requests from $350,000 to $10 million or more. Available amounts and terms depend on the financial review, the existing facility, and the structure that can be agreed.
Some eligible bridge transactions can be unsecured without UCC filings on corporate assets. Guarantee requirements must be evaluated separately. A no-UCC option does not automatically remove senior-lender consent requirements.
Underwriting and closing may move quickly for a complete, qualified request, but lender coordination can affect the timetable. See Bridge Funding for the overall program and No UCC Filing Business Loans for the specific filing question.
Questions about second position business loans
Do I have to refinance my existing bank loan?
No, this funding is in addition to your existing bank loan, so you can have both simultaneously.
Does second position always mean a second lien?
No. A junior facility can be secured or unsecured. Funding can also be in a third or fourth position if a company has multiple secured lenders.
